Terms of Service

The terms on which Sumudu Trading provides sourcing, inspection, logistics and after-sales services to business buyers.

Version 2.1 · Effective 2026-10-29

These terms apply to every quotation, order and service we provide, unless we have signed a separate written agreement with you. They are written for business buyers; if you are a consumer, tell us before ordering, because different rules apply.

1. These terms, and who we are

The services are provided by Sumudu Trading (Dongguan) Co., Ltd., registered in China at Rm 604, Building 4, Zhonghui Shanpan Mingcheng, North Changqing Rd, Chang'an Town, Dongguan, Guangdong 523843 ("we", "us").

By requesting a quotation, placing an order or continuing to use our services after we send you these terms, you accept them. If you do not accept them, do not order.

If you order through a purchase order or framework agreement of your own, these terms prevail except for the parts we expressly accept in writing.

2. Our role: agent, not the seller

We are a sourcing agent and export service provider. We identify and vet factories, negotiate on your behalf, arrange inspection, consolidate cargo and handle export documentation.

Unless a document says otherwise, the contract of sale for the goods is between you and the factory, and we act as your agent in arranging it. We are not the manufacturer, do not design the goods, and do not warrant them beyond the warranties we can enforce against the factory on your behalf.

Where we do sell as principal — for example a stock item we hold ourselves — the quotation will say so expressly, and only then do we act as seller.

3. Quotations, prices and fees

  • Quotations are valid for 30 days unless the quotation states another period. Factory prices move with raw material and exchange rates; after expiry we will re-confirm before proceeding.
  • Our service fee is a separate line on the quotation. It is never hidden inside the unit price, and we take no commission or kickback from any factory.
  • Prices are exclusive of any duty, VAT, or import charges in your country unless the quotation states DDP or another term that includes them.
  • Currency conversion, bank charges and payment-platform fees are borne by the payer unless agreed otherwise in writing.

4. Orders, deposits and payment

  • An order becomes binding when we confirm it in writing and the deposit has cleared.
  • Standard terms for new customers: 30% deposit on order, 70% balance against the copy of the bill of lading. Other terms may be agreed in writing.
  • Accepted methods: T/T, L/C, PayPal and Western Union. Payment is accepted only into official company accounts — never to a personal account, and never to an account whose details differ from those on the invoice without a verified written change.
  • Late payment may suspend production, booking or release of documents. We may charge interest at 0.05% per day on overdue amounts, capped at what the law allows.

5. Payment security: verifying a change of bank details

Bank details are never changed by email alone. If you receive a message asking you to pay into a different account — even when it arrives from an address you already know, even inside an existing email thread, and even when it repeats our logo, signature and invoice format — treat it as fraud until you have verified it independently.

  • Verify by telephone on a number you already hold, not on a number printed in the message. Our number is +86 156 2713 7968.
  • Ask us to re-issue the invoice as a signed PDF and compare the account name, bank, branch and SWIFT code with the one you received at the quotation stage.
  • We never ask for your email password, your mailbox authorisation code, or a one-time verification code. Anyone who does is not us.
  • Urgency, deadlines, "the old account is frozen" or a threat that shipment will be held are the standard pressure tactics in this type of fraud. Slow down — a genuine change can wait for one phone call.
  • A payment made to an account we have not confirmed in writing does not discharge your obligation to us. We will help you report it, but we cannot bear the loss.

If you suspect a fraudulent message, forward it to sales@sumudu-cn.com and call us before you transfer anything. We report every such attempt to the relevant registrar, mail provider and, where appropriate, the police.

6. Inspection and claims

Where inspection is part of the order, we inspect before shipment and send you the report with photographs. Inspection is a visual and functional check against the agreed specification; it is not a laboratory test unless we say so in writing.

  • Quantity and visible damage: notify us within 7 days of delivery, with photographs and the packing list.
  • Latent defects: notify us within 30 days of delivery, or within the factory's own warranty period if longer.
  • We will raise the claim with the factory on your behalf and pursue repair, replacement, price reduction or refund as the circumstances allow. Our obligation is to pursue the claim diligently; the factory's liability is the factory's own.
  • Claims are not accepted for defects caused by misuse, unauthorised modification, normal wear, or specification you supplied and we followed.

7. Shipping, risk and delivery

  • Trade terms follow Incoterms® 2020 as stated in the quotation. If no term is stated, the default is FOB.
  • Risk passes as provided by that Incoterm. We are not the carrier and do not insure your goods unless we confirm insurance in writing.
  • Transit times given by carriers are estimates, not guarantees. We will tell you as soon as we know of a delay and give you the carrier's evidence.
  • Storage, demurrage and detention charges arising from a delay caused by you or your consignee are for your account.

8. Cancellation and termination

  • Before production starts: cancellation in writing, and we refund the deposit less costs already committed on your behalf (sampling, tooling, material booked, inspection arranged).
  • After production starts: cancellation only if the factory accepts it. Work already done, materials already cut and non-cancellable bookings remain payable.
  • Either side may terminate immediately if the other commits a material breach and does not cure it within 15 days of written notice, or becomes insolvent.

9. Confidentiality and intellectual property

Each side keeps the other's non-public information confidential — drawings, specifications, prices, supplier identities — and uses it only for the order. This survives the end of the relationship for three years.

You confirm you own or are licensed to use everything you send us. Factory tooling paid for by you remains your property where the factory agreement says so; we will help you obtain it. Content on this website — text, photographs, layout — belongs to us and may not be copied for commercial use.

10. Compliance, sanctions and anti-bribery

  • You are responsible for ensuring the goods may lawfully be imported into, and used in, your destination country, and for any licence or registration required there.
  • We will not act for parties subject to UN, EU, UK, US or Chinese sanctions, or for goods destined for prohibited end uses. We may suspend an order and ask for end-use information.
  • Neither side offers or accepts bribes, facilitation payments or improper advantages in connection with an order. Breach of this clause is a material breach.

11. Limitation of liability

Our total liability arising out of an order is limited to the service fee we actually received for that order. We are not liable for loss of profit, loss of market, loss of goodwill, or indirect or consequential loss.

Nothing in these terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, for fraud, or under mandatory consumer protection rules.

12. Force majeure

Neither side is liable for delay or failure caused by events beyond reasonable control — natural disaster, epidemic, war, sanctions, port closure, government action, wide-spread power or network failure. The affected side notifies the other promptly and both work to reduce the impact. If the event lasts more than 60 days, either side may cancel the affected part of the order without penalty, settling work already done.

13. Governing law and disputes

These terms are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.

The parties will first try to resolve a dispute by negotiation within 30 days of written notice. If that fails, the dispute is submitted to the people's courts of Dongguan, Guangdong, China, which have exclusive jurisdiction. For a specific cross-border order the parties may agree in writing to arbitrate instead — under CIETAC rules, seated in Shenzhen, in English — in which case that agreement prevails for that order.

14. Using this website

  • Do not scrape, overload or attempt to gain unauthorised access to the site; do not use it to send unlawful, misleading or malicious content.
  • Product pages marked as samples or illustrative are not offers. Specifications are indicative until confirmed in a quotation.
  • We may change or withdraw content without notice. Links to third-party sites are not endorsements.

15. Changes and contact

We may update these terms; the version and effective date appear at the top of the page. The version in force when an order is confirmed governs that order. If any provision is unenforceable, the rest remains in effect.
